Dragon Rise Group Holdings Limited released a supplemental announcement on 23 July 2026 detailing the planned re-appointment of Grant Thornton Hong Kong Limited as auditor until the conclusion of the next annual general meeting.
The Board, acting on the Audit Committee’s recommendation, will seek shareholder approval at the upcoming AGM to confirm the re-appointment and to authorise the Board to fix the auditor’s remuneration.
For the financial year ending 31 March 2027, the preliminary audit fee is projected to fall between HK$1.14 million and HK$1.24 million. The proposed fee range was set following arm’s-length negotiations and reflects historical costs, prevailing market rates, the Group’s operational scale and complexity, the expected audit scope and timetable, and the resources required.
The fee assumption is based on no material changes to the Group’s business, accounting policies, or regulatory environment, and on timely information support from the Company. Should material changes occur, further disclosure will follow.
The Board and the Audit Committee consider the proposed fee fair and reasonable, citing Grant Thornton’s familiarity with the Group’s financial affairs and the efficiency benefits of continuity. All other information in the original AGM circular remains unchanged.
