7Road Holdings Seeks Fresh 10% Share Buy-back Mandate After Utilising 85.56% of Existing Authority

7Road Holdings Limited has called an extraordinary general meeting (EGM) for 4 September 2026 to ask shareholders for a renewed general mandate allowing the company to repurchase up to 10% of its issued share capital.

The current mandate, approved at the 26 May 2026 AGM, authorised buy-backs of up to 274.77 million shares (10% of shares then in issue). Between 27 May and 20 July 2026 the company repurchased and cancelled 235.10 million shares, equivalent to 9.37% of its share capital and 85.56% of the authorised limit. Repurchase prices ranged from HK$0.55 to HK$1.19 per share.

Following these cancellations, 7Road’s outstanding share count stands at 2.51 billion shares as of 13 August 2026. If the new mandate is approved, the board could buy back up to a further 250.81 million shares, again representing 10% of the current issued shares. The authority would run until the next annual general meeting, its statutory due date, or earlier revocation.

Management reiterated that repurchases are considered when market prices undervalue the company and when the transactions are expected to enhance net asset value and earnings per share. All buy-backs will be funded from legally available resources under Cayman Islands law.

The EGM will be held at the company’s Shenzhen headquarters at 11:00 a.m. (local time) on 4 September 2026. Shareholders must be on the register by 31 August 2026 to vote, with the register closed from 1–4 September 2026. Proxy forms are due by 11:00 a.m. on 2 September 2026.
