Key appointment terms • Tenure: Three-year term commencing 26 August 2026; either party may terminate with at least one month’s written notice. • Remuneration: Director’s fee set at RMB 50,000 per completed year of service, determined with reference to prevailing market conditions and her responsibilities. • Board rotation: Ms. Zhang will hold office until the next annual general meeting and will be eligible for re-election in accordance with the Company’s Articles.
Professional background • Education: Bachelor’s degree in Philosophy from Fudan University; MBA from China Europe International Business School; completed executive programmes at The Wharton School and the University of Hong Kong in 2023. • Career: Served at SoftBank China Venture Capital from 2011 to July 2021, rising to Investment Partner with focus on fundraising, investor relations, tech-innovation funds, M&A and IPO execution. Co-operated with insurers including Pacific Insurance and New China Life Insurance to establish equity and special-purpose funds. • Subsequent roles: Founding Partner, Longshine Capital (Aug 2021–Mar 2026); Senior Vice President, First Seafront Holding Limited (since Jan 2026).
Independence and shareholding Ms. Zhang meets all independence criteria under Listing Rules 3.13(1)–(8), holds no shares in Huisheng Intl or its associated corporations, and has no relationships with substantial shareholders, directors or senior management.
