Colour Life Services Group Co., Limited (Colour Life) has issued a formal notice convening its Annual General Meeting (AGM) for 10:30 a.m. on Tuesday, 16 June 2026, at the Imagination Room, BOHUB, Tower A, The Platinum Tower, Shenzhen, PRC.
Key agenda items: 1. Financial Statements: Shareholders will review the audited consolidated results for the year ended 31 December 2025, together with directors’ and auditor’s reports.
2. Board Composition: The meeting will consider the re-election of five directors—Ms. Yang Lan (executive), Mr. Sha Feng and Mr. Timothy David Gildner (non-executive), and Ms. Yu Shan and Mr. Li Xinhua (independent non-executive).
3. Remuneration & Auditor: The board seeks authority to set directors’ fees and proposes the re-appointment of Prism Hong Kong Limited as external auditor until the next AGM, with remuneration to be fixed by the board.
4. Capital Management Mandates: • Share Buyback: Directors request a general mandate to repurchase up to 10% of issued shares (excluding treasury shares) on the Hong Kong Stock Exchange or other recognised bourses during the mandate period. • Share Issuance: A separate mandate would authorise the board to allot, issue or deal with shares— and resell treasury shares where permitted—up to 20% of issued share capital, excluding specific carve-outs such as rights issues and share-based schemes. • Mandate Extension: Conditional on the above approvals, the share-issuance mandate may be extended by the number of shares repurchased, effectively increasing potential issuance by a further amount not exceeding 10% of issued shares.
Administrative details: • Voting: All resolutions will be decided by poll in accordance with Hong Kong Listing Rules. • Shareholder Entitlement: The register of members will close from 11 June 2026 to 16 June 2026 (both dates inclusive). Only shareholders on record as of 16 June 2026 are eligible to attend and vote. • Proxy Arrangements: Completed proxy forms must reach Computershare Hong Kong Investor Services Limited by 4:30 p.m. on 14 June 2026. Shareholders may appoint multiple proxies and retain the right to vote in person, which will nullify any prior proxy submission upon attendance.
