FriendTimes: Controlling Shareholder Lifts Stake to 57.43% After 1.23 Million-Share Market Purchase

FriendTimes Inc. (FRIENDTIMES) disclosed that Warm Sunshine Holdings Limited—an investment vehicle wholly owned by Chairman and Executive Director Mr. Jiang Xiaohuang—acquired 1.23 million shares on 30 June 2026. The on-market transaction represents approximately 0.06% of the company’s issued share capital.

Following the purchase, Warm Sunshine’s holding increased from 195.86 million shares to 197.09 million shares. Correspondingly, Mr. Jiang’s aggregate interest rose from 1.251 billion shares to 1.253 billion shares, lifting his ownership stake from 57.37% to 57.43% of FriendTimes’ total issued share capital.

The Board stated that the additional investment signals the controlling shareholder’s confidence in the company’s long-term prospects. FriendTimes confirmed that its public float remains above the minimum requirement and that the transaction does not trigger any mandatory general offer under Hong Kong’s Codes on Takeovers and Mergers and Share Buy-backs.

Management will continue to monitor any further changes in shareholding and make timely disclosures in accordance with the Listing Rules, the Inside Information Provisions, and the Takeovers Code.
