SinoMab BioScience Limited has issued a notice convening an Extraordinary General Meeting (EGM) on 7 September 2026 at 10:00 a.m. in Central, Hong Kong.

The sole agenda item seeks shareholder approval for a disposal agreement dated 6 July 2026. Under the proposed transaction, wholly owned subsidiary MediNexus Pharma (Suzhou) Limited will sell the state-owned construction land-use right east of Jingu Road and north of Jiangyun Road in Suzhou Industrial Park, together with the factory premises at No. 59 Jinhai Road and related facilities, to Suzhou Yigong Pinyuan Biopharmaceutical Co., Ltd. MediLink Therapeutics (Suzhou) Co., Ltd. will act as guarantor. Aggregate consideration is set at RMB 280.00 million.

If approved, any one director will be authorised to execute all documents necessary to complete the disposal.

Key administrative details: • Record date: 7 September 2026. • Register of members closure: 2 – 7 September 2026 (both days inclusive). • Proxy submission deadline: 10:00 a.m., 4 September 2026. • All resolutions will be decided by poll in accordance with Hong Kong Listing Rules.
